This Agreement affect your legal rights, endeavour to read them and treat with utmost importance. These Terms and Conditions (“Terms “, “Agreement “) are an agreement between ATI Hub (” the Hub “, “us “, “we” or “our “) and you (“User “, “you” or “your “). This Agreement including our Privacy Policy and Refund Policy sets forth the general terms and conditions of your use of our services, or such name or product communicated by us from time to time, including all features and functionality, the site, content, application, user interface and software associated with our service and any of its products or services (“Service “). By using our site and services, you are entering into a binding contract with ATI Hub. Your agreement with us includes these Terms, our Privacy Policy and our Refund Policy (the “Agreements”).

Acceptance of Terms of Use

By accessing, visiting this website you accept and agree to be bound by the Terms. Please read carefully. Further, you shall be subject to any additional terms of use that apply when you use certain products or posted guidelines or rules applicable to our Services, which may be posted and modified from time to time. All such guidelines are hereby incorporated by reference into the Terms.

ANY ACCESS, USE or PARTICIPATION IN THE SERVICES WILL CONSTITUTE ACCEPTANCE OF THE TERMS. IF YOU DO NOT AGREE TO THESE TERMS OF USE, PLEASE DO NOT USE THE SERVICES OR OUR WEBSITE OR ACCESS OUR SERVICES.

Any contests, sweepstakes or other promotions (collectively, “Promotions”) made available through Service may be governed by rules that are separate from these Terms of Service. Our Service allows you to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material (“Content”). You are responsible for Content that you post on or through Service, including its legality, reliability, and appropriateness

By posting Content on or through Service, You represent and warrant that:

• (i) Content is yours (you own it) and/or you have the right to use it and the right to grant us the rights and license as provided in these Terms, and,
• (ii) That the posting of your Content on or through Service does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person or entity. We reserve the right to terminate the account of anyone found to be infringing on a copyright.

You retain any and all of your rights to any Content you submit, post or display on or through Service and you are responsible for protecting those rights. We take no responsibility and assume no liability for Content you or any third-party posts on or through Service. Consent

Using the website, you consent to receiving electronic communication from The Hub. We may communicate with you by electronic mail (e-mail), short message service (sms) or by posting notices on the website or through other methods. For contractual purposes, you consent to receive communications from us electronically and you agree that all agreements, notices, disclosures and other communications that we provide you electronically satisfy any legal requirement that such communication be in writing. You also consent to receiving certain other communication from us, such as newsletters, special offers, questionnaires, customer surveys or other announcements via email, sms or other methods. You may opt out of receiving non-transactional communications, including marketing communications from us by following the directions in our e-mail to “unsubscribe” from our mailing list, or by sending an e-mail request to Hello@atihub.tech. Please be aware that if you choose not to receive such communication, certain offers attached to services you have chosen may be affected. We will still communicate with you in connection with transactional communications, including but not limited to servicing your account and customer services.

You consent to us providing your details and reporting to law enforcement agencies, including but not limited to the Economic and Financial Crimes Commission, the Nigerian Financial Intelligence Unit, the Nigerian Police Force, e.t.c.

You consent that we can share your information for any purpose permissible under the law.

Under the Nigeria Data Protection Act 2023 (NDPA), there are certain occasions when The Hub must obtain your explicit consent to use your information, known as ‘Personal Data’ such usage will be under the allowable conditions of the NDPA.

Prohibited Uses

In addition to other terms as set forth in the Agreement, you are prohibited from using the website or its content:

• For any unlawful purpose;
• To solicit others to perform or participate in any unlawful acts;
• To violate any international, federal, provincial or state regulations, rules, laws, or local ordinances;
• To infringe upon or violate our intellectual property rights or the intellectual property rights of others;
• To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability;
• To submit false or misleading information;
• To collect or track the personal information of others;
• For any obscene or immoral purpose;
• For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content or otherwise;
• To transmit, or procure the sending of, any advertising or promotional material, including any “junk mail”, “chain letter,” “spam,” or any other similar solicitation;
• To impersonate or attempt to impersonate The Hub, a The Hub employee, another user, or any other person or entity;
• In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful, or in connection with any unlawful, illegal, fraudulent, or harmful purpose or activity;
• To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of Service, or which, as determined by us, may harm or offend The Hub or users of Service or expose them to liability

Additionally, you consent not to:

• Use Service in any manner that could disable, overburden, damage, or impair Service or interfere with any other party’s use of Service, including their ability to engage in real time activities through Service
• Use any robot, spider, or other automatic device, process, or means to access Service for any purpose, including monitoring or copying any of the material on Service
• Use any manual process to monitor or copy any of the material on Service or for any other unauthorized purpose without our prior written consent
• Use any device, software, or routine that interferes with the proper working of Service
• Introduce any viruses, trojan horses, worms, logic bombs, or other material which is malicious or technologically harmful
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of Service, the server on which Service is stored, or any server, computer, or database connected to Service
• Attack Service via a denial-of-service attack or a distributed denial-of-service attack
• Take any action that may damage or falsify The Hub rating
• Otherwise attempt to interfere with the proper working of Service

Analytics

We may use third-party Service Providers to monitor and analyse the use of our Service.

No Use by Minors

Our services are available only to people aged 18 or over. You must be over the age of 18 to access the Service with The Hub. Individuals under the age of 18, may utilize the service only with the involvement of a parent or legal guardian, under such person’s account and otherwise subject to these Terms. The User must have the contractual capacity to enter a binding contract with us and must not be barred from doing so under any applicable laws. You also warrant that any registration information that you submit to The Hub is true, accurate and complete, and you always agree to keep it that way and The Hub will not be held liable for any loss or damage that may arise in this respect.

Intellectual Property

Service and its original content (excluding Content provided by users), features and functionality are and will remain the exclusive property of ATI and its licensors. Service is protected by copyright, trademark, and other laws of and foreign countries. Our trademarks may not be used in connection with any product or service without the prior written consent of ATI.

Copyright Policy

We respect the intellectual property rights of others. It is our policy to respond to any claim that Content posted on Service infringes on the copyright or other intellectual property rights (“Infringement”) of any person or entity.

If you are a copyright owner, or authorized on behalf of one, and you believe that the copyrighted work has been copied in a way that constitutes copyright infringement, please submit your claim via email to Hello@atihub.tech, with the subject line: “Copyright Infringement” and include in your claim a detailed description of the alleged Infringement as detailed below, under the Copyrights Act 2023.

You may be held accountable for damages (including costs and attorneys’ fees) for misrepresentation or bad faith claims on the infringement of any Content found on and/or through Service on your copyright.

Copyright Act Notice and Procedure for Copyright Infringement Claims

You may submit a notification pursuant to the Copyright Act (2023) by providing our Copyright Agent with the following information in writing:

Error Reporting and Feedback

You may provide us either directly at Hello@atihub.tech or via third party sites and tools with information and feedback concerning errors, suggestions for improvements, ideas, problems, complaints, and other matters related to our Service (“Feedback”). You acknowledge and agree that:

• You shall not retain, acquire or assert any intellectual property right or other right, title or interest in or to the Feedback;
• The Hub may have development ideas similar to the Feedback;
• Feedback does not contain confidential information or proprietary information from you or any third party; and
• The Hub is not under any obligation of confidentiality with respect to the Feedback. In the event the transfer of the ownership to the Feedback is not possible due to applicable mandatory laws, you grant The Hub and its affiliates an exclusive, transferable, irrevocable, free-of-charge, sub-licensable, unlimited and perpetual right to use (including copy, modify, create derivative works, publish, distribute and commercialize) Feedback in any manner and for any purpose.

• Our services may contain links to other websites ("Linked Sites"). The Linked Sites are not under the control of The Hub and The Hub is not responsible for the contents of any Linked Site, including without limitation any link contained in a Linked Site, or any changes or updates to a Linked Site. The inclusion of any link to third-party websites do not imply endorsement by The Hub of the site or any association with its operators.
• Certain services made available by The Hub website are delivered by third party sites and organizations. By using any product, service or functionality originating from The Hub website domain, you hereby acknowledge and consent that The Hub may share such information and data with any third party with whom The Tech Academy has a contractual relationship to provide the requested product, service or functionality on behalf of The Hub users and customers.

YOU ACKNOWLEDGE AND AGREE THAT THE HUB SHALL NOT BE RESPONSIBLE OR LIABLE, DIRECTLY OR INDIRECTLY, FOR ANY DAMAGE OR LOSS CAUSED OR ALLEGED TO BE CAUSED BY OR IN CONNECTION WITH USE OF OR RELIANCE ON ANY SUCH CONTENT, GOODS OR SERVICES AVAILABLE ON OR THROUGH ANY SUCH THIRD-PARTY WEB SITES OR SERVICES.

WE STRONGLY ADVISE YOU TO READ THE TERMS OF SERVICE AND PRIVACY POLICIES OF ANY THIRD-PARTY WEB SITES OR SERVICES THAT YOU VISIT.

Disclaimer of Warranty

THESE SERVICES ARE PROVIDED BY THE HUB ON AN “AS IS” AND “AS AVAILABLE” BASIS. THE HUB MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THEIR SERVICES, OR THE INFORMATION, CONTENT OR MATERIALS INCLUDED THEREIN. YOU EXPRESSLY AGREE THAT YOUR USE OF THESE SERVICES, THEIR CONTENT, AND ANY SERVICES OR ITEMS OBTAINED FROM US IS AT YOUR SOLE RISK.

NEITHER THE HUB NOR ANY PERSON ASSOCIATED WITH THE HUB MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICES. WITHOUT LIMITING THE FOREGOING, NEITHER THE HUB NOR ANYONE ASSOCIATED WITH THE HUB REPRESENTS OR WARRANTS THAT THE SERVICES, THEIR CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT THE SERVICES OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS OR THAT THE SERVICES OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.

THE HUB HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE.

THE FOREGOING DOES NOT AFFECT ANY WARRANTIES WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

Limitation of Liability

THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE SITE MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION HEREIN. EXCEPT AS PROHIBITED BY LAW, IF THERE IS LIABILITY FOUND ON THE PART OF THE HUB, IT WILL BE LIMITED TO THE AMOUNT PAID FOR THE PRODUCTS AND/OR SERVICES, AND UNDER NO CIRCUMSTANCES WILL THERE BE CONSEQUENTIAL OR PUNITIVE DAMAGES. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE PRIOR LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SITE, OR WITH ANY OF THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SITE.

Changes To Service

If any provision of Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of Terms will continue in full force and effect.

Termination/access restriction

• We may terminate or suspend or bar your access to Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of Terms.
• If you wish to terminate your account, you may simply discontinue using Service.
• All provisions of Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.
• The Hub reserves the right, in its sole discretion, to terminate your access to the Service and related services or any portion thereof at any time, without notice
• You agree that no joint venture, partnership, employment, or agency relationship exists between you and us as a result of this agreement or use of the Service. Our performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of our right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Service or information provided to or gathered by us with respect to such use

Restrictions

You shall not:

• Modify, revise or create any derivative works of the website;
• Decompile, reverse engineer or otherwise attempt to derive the source code for the website;
• Redistribute, sell, rent, lease, sublicense, or otherwise transfer rights to the website or
• Remove or alter any proprietary notices, legends, symbols or labels on the website, including, but not limited to, any trademark, logo or copyright.

Indemnification

You agree to indemnify and hold The Hub and its affiliates, directors, officers, employees, and agents harmless from and against any liabilities, losses, damages or costs, including reasonable attorneys’ fees, incurred in connection with or arising from any third-party allegations, claims, actions, disputes, or demands asserted against any of them as a result of or relating to your Content, your use of the Website or Services or any wilful misconduct on your part.

Governing Law

These Terms shall be governed and construed in accordance with the laws of Nigeria, which governing law applies to agreement without regard to its conflict of law provisions. You hereby consent to the exclusive jurisdiction and venue of courts in Nigeria in all disputes arising out of or relating to the use of the Service. Use of the Service is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms, including, without limitation, this section.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.

Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and The Hub with respect to Services and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and The Hub with respect to Services. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish to the parties that this agreement and all related documents be written in English.

Acknowledgement

BY USING SERVICE OR OTHER SERVICES PROVIDED BY US, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE AND AGREE TO BE BOUND BY THEM.
